Terms and Conditions of Service

Introduction

These Terms and Conditions of Service govern access to and use of the ADRXP multi-vendor e-commerce platform, operated by Adrenaline Express Limited, effective from the 10th day of June, 2025.

By accessing, registering on, or using ADRXP as a customer, vendor, or visitor, you agree to be bound by these Terms in full. These Terms form a legally binding agreement between you and Adrenaline Express Limited. If you do not agree with any part of these Terms, you must discontinue use of the platform immediately.

ADRXP is committed to operating a platform that is transparent, fair, and built on clear rules. These Terms exist not just to protect the company, but to protect every person who uses the platform. Customers deserve to know what they are agreeing to before they buy. Vendors deserve to know what is expected of them before they sell. These Terms give both.

1. Definitions

The following terms are used throughout this document and carry the meanings defined below.

Company, ADRXP, We, Us, or Our: refers to Adrenaline Express Limited, the operator of the ADRXP platform.

Platform: refers to the ADRXP website, mobile applications, and all related services operated by the Company.

User: refers to any person who accesses or uses the platform in any capacity.

Customer: refers to a user who purchases or attempts to purchase products through ADRXP.

Vendor: refers to an individual or registered business that has been approved to list and sell products on ADRXP.

Products: refers to goods listed for sale by vendors on the platform.

Order: refers to a purchase initiated and completed by a customer through the ADRXP platform.

2. Nature of the Platform

ADRXP is a multi-vendor e-commerce marketplace. Its role is to connect customers with independent third-party vendors who list products for sale on the platform. ADRXP does not manufacture the products sold through the platform and does not act as a vendor unless this is expressly stated in a specific transaction.

The division of responsibility is clear. Vendors are responsible for the products they list, including their accuracy, quality, and legality. ADRXP is responsible for coordinating shipping, delivery, and logistics for eligible orders, either directly or through approved third-party logistics partners. Both sides of this arrangement are bound by these Terms.

Users should understand that ADRXP acts as a facilitator of commerce, not a guarantor of any specific vendor's product quality beyond what is covered under this Policy and the associated Return, Refund and Exchange Policy.

3. User Accounts

Some features and services on ADRXP require users to create an account. By creating an account, you agree to provide accurate, complete, and current information. You are responsible for keeping your account information up to date.

You are also solely responsible for maintaining the confidentiality of your account credentials, including your password. Any activity that occurs under your account is your responsibility. ADRXP will not be held liable for losses resulting from unauthorized access to your account that arises from your own negligence in protecting your login details.

If you become aware of any unauthorized use of your account, you must notify ADRXP immediately through the official support channels. ADRXP will take reasonable steps to assist, but the responsibility for account security lies first with the account holder.

4. Vendor Responsibilities

Vendors are a core part of the ADRXP platform and the quality of their participation directly affects the experience of every customer. By registering as a vendor on ADRXP, you accept the following responsibilities without exception.

•  You may only list products that are lawful, genuine, and accurately described. Listings must reflect the actual condition, specifications, and availability of the product being sold.

•  All products listed must meet applicable quality and safety standards. ADRXP reserves the right to remove any listing that does not meet these standards, without prior notice.

•  Products must be properly packaged and made available for pickup or drop-off at the location and within the timeframe specified by ADRXP logistics. Failure to do so may result in order cancellations and penalties.

•  Vendors must deliver products to ADRXP logistics points within the timelines specified at the time the order is confirmed.

•  All vendor activity on the platform must comply with applicable Nigerian law, including consumer protection legislation, and all ADRXP platform policies.

Vendors do not deliver products directly to customers unless ADRXP has provided express written authorization for a specific transaction. Unauthorized direct deliveries that bypass ADRXP logistics are a breach of these Terms.

5. Orders, Payments and Commissions

An order is only considered confirmed once payment has been successfully processed through the ADRXP platform. Orders that are not accompanied by successful payment will not be fulfilled.

All payments on ADRXP are processed through secure payment gateways provided or approved by the Company. ADRXP does not store sensitive payment credentials and takes reasonable steps to ensure the security of all transactions on the platform.

ADRXP may deduct applicable commissions, service fees, logistics charges, or transaction fees from vendor earnings before remittance. The specific rates and terms applicable to each vendor will be communicated at the time of vendor onboarding and may be updated from time to time with reasonable notice.

Vendors are responsible for complying with all applicable tax obligations arising from their sales on the platform, unless ADRXP has expressly agreed in writing to handle specific tax matters on their behalf.

6. Shipping, Delivery and Fulfillment

Shipping and Logistics

ADRXP takes full responsibility for coordinating shipping, delivery, and logistics for all eligible orders placed on the platform. This responsibility begins when a vendor successfully hands over a product to ADRXP or an approved logistics partner, and continues through to delivery at the customer's specified address.

Vendors must make products available for handover in a timely manner and in a condition that is suitable for safe transit. ADRXP reserves the right to determine the delivery methods, routes, and logistics partners used for each order, based on operational requirements and the customer's location.

Delivery timelines provided at the time of order confirmation are estimates. Actual delivery times may vary due to factors including traffic, weather conditions, operational constraints, or force majeure events. ADRXP will make reasonable efforts to communicate delays to affected customers.

Delivery Conditions

Customers are responsible for ensuring that their delivery address is accurate and complete at the time of placing an order. Customers must also ensure that someone is available to receive the delivery at the address provided.

Where a delivery fails because the address provided was incorrect, the recipient was unavailable, or the recipient refused the delivery, additional charges may apply for re-delivery attempts. ADRXP is not responsible for delays or failures that arise from inaccurate or incomplete information provided by the customer.

7. Refunds, Returns and Disputes

Refunds and returns are handled in accordance with the ADRXP Return, Refund and Exchange Policy, which forms part of the overall agreement between users and the Company. All refund and return requests must be submitted through the official ADRXP support channels.

Returned products may be inspected by ADRXP before a refund is approved and processed. The outcome of that inspection will determine the applicable refund, if any.

Where a dispute arises between a customer and a vendor, ADRXP may act as a mediator to assist in reaching a resolution. However, ADRXP is not responsible for product defects, misrepresentations, or warranty issues that fall within the vendor's responsibility. Mediation by ADRXP does not make ADRXP a party to any dispute between a customer and a vendor.

8. Prohibited Products and Conduct

ADRXP operates a platform that is built on trust and legal compliance. The following conduct is strictly prohibited for all users and vendors.

•  Listing, selling, or attempting to sell items that are illegal, counterfeit, restricted, or prohibited under Nigerian law or platform policy.

•  Engaging in fraud, misrepresentation, or any form of deceptive practice toward other users, vendors, or ADRXP itself.

•  Abusing the platform, interfering with its technical operation, or attempting to circumvent its systems or policies.

•  Using the platform to facilitate transactions that violate applicable Nigerian laws or regulations.

ADRXP reserves the right to remove any product listing, suspend any account, or take appropriate legal action in response to any conduct that falls within the categories above. These actions may be taken without prior notice where the conduct poses an immediate risk to other users or the integrity of the platform.

9. Limitation of Liability

ADRXP's liability in connection with the use of the platform is limited as set out in this section. Users should read this section carefully before placing orders or listing products.

ADRXP is not liable for product defects, misrepresentations, or warranty claims that originate with a vendor. The vendor is the seller of the product, and vendor-related product issues are the vendor's responsibility.

ADRXP is not liable for losses caused by force majeure events, including but not limited to natural disasters, flooding, strikes, civil unrest, or government actions that are outside the Company's reasonable control.

ADRXP is not liable for indirect, incidental, or consequential damages arising from the use of the platform, including loss of income, loss of profit, or loss of data.

Where ADRXP's liability does arise in connection with logistics services, that liability will not exceed the value of the specific transaction affected, unless a separate written agreement provides otherwise.

10. Data Protection

ADRXP collects and processes personal data in compliance with the Nigeria Data Protection Regulation (NDPR) and any other applicable data protection legislation. The Company takes the privacy and security of user data seriously and has put in place appropriate technical and organisational measures to protect it.

Full details of how ADRXP collects, uses, stores, and protects personal data are set out in the ADRXP Privacy Policy, which forms part of the overall agreement between the Company and its users. Users are encouraged to read the Privacy Policy carefully.

11. Intellectual Property

All content on the ADRXP platform, including but not limited to logos, trademarks, brand names, designs, text, graphics, software, and the overall structure and layout of the platform, is the exclusive property of Adrenaline Express Limited and is protected under applicable intellectual property laws.

Users and vendors are granted a limited, non-exclusive, non-transferable right to access and use the platform for its intended purpose. No part of the platform's content may be reproduced, distributed, modified, or used in any way without the prior written consent of Adrenaline Express Limited. Unauthorized use of ADRXP's intellectual property may result in legal action.

12. Suspension and Termination

ADRXP reserves the right to suspend or permanently terminate any user or vendor account where any of the following applies.

•  The user or vendor has violated these Terms or any related platform policy.

•  False, misleading, or inaccurate information has been provided during registration or at any point during use of the platform.

•  The account holder's activities are found to threaten the integrity of the platform, the safety of other users, or the reputation of ADRXP.

Suspension or termination may occur without prior notice in cases that involve fraud, illegal activity, or an immediate risk to other users. In less urgent cases, ADRXP will endeavour to notify the account holder before taking action. Where an account is terminated, any outstanding balances owed to vendors will be settled in accordance with the standard payment cycle, subject to any deductions applicable under these Terms.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Nigeria, or resolved through arbitration as set out in the ADRXP Dispute Resolution Policy.

14. Amendments

ADRXP reserves the right to amend these Terms at any time. Changes may be made in response to legal developments, changes in platform operations, or feedback from the user community. Updated Terms will be published on the platform with a revised effective date.

Continued use of the ADRXP platform after the publication of updated Terms constitutes your acceptance of those changes. Users who do not agree with an update should discontinue use of the platform and contact ADRXP to resolve any outstanding matters.
